1. Parties and business use

Boordapp is offered by Valinta Shipping vof, trading under the trade name Boordapp, Albert Schweitzerlaan 1, 4281 LT Andel, KvK 90025644, VAT number NL865186479B01. Boordapp is intended exclusively for business or professional use by inland shipping companies, skippers, owners and managers. By signing up, the person signing up declares that the customer is not acting as a consumer and that they are authorised to bind the customer.

These terms are necessary because Boordapp concludes subscriptions online. They set out in advance who the provider is, what the customer may expect, which payment applies, when access may be restricted and how liability is allocated.

2. Service and right of use

During an active subscription, the customer receives a non-exclusive and non-transferable right to use Boordapp for its own vessel and onboard management, within the chosen plan. The subscription is a right of use, not a purchase: the customer does not acquire ownership of the software and does not receive a copy of the software or the source code. The customer may not resell, rent out, sublicense, copy or modify Boordapp, or make it available to third parties outside its own business. The right of use ends automatically at the end of the subscription.

Boordapp is a tool. The customer remains solely responsible for safe navigation, maintenance, certificates, crew, legal obligations, inspections and the accuracy of the data entered.

We may modify, temporarily disable, merge or discontinue features if this is necessary for safety, quality, supplier requirements, legislation or product decisions. In the event of a material adverse change, we will inform the customer in advance and the customer may cancel before the change takes effect.

3. Account and access

The customer manages users, roles and access itself. Misuse, unauthorised access or a possible data breach must be reported immediately via support@boordapp.nl. Boordapp may restrict or block access immediately in the event of misuse, a security risk, fraud, unlawful use or disruption of the service.

4. Subscription, prices and payment

  • Prices are shown on the website, in Stripe Checkout, in the app or in a quotation.
  • Prices are in euros and exclude VAT, unless stated otherwise.
  • Self-service subscriptions run monthly or annually and are paid via Stripe.
  • Existing customers may temporarily be managed outside Stripe if we agree to this.
  • Cancellation is possible at any time. Access continues until the end of the paid monthly or annual period.

New self-service customers receive the first 30 days free of charge, for as long as this is shown in Checkout. After that, the price confirmed by Stripe Checkout at sign-up applies. This price is currently €49 per month or €499 per year excluding VAT. An existing price arrangement confirmed by Stripe or in a quotation remains in force for the agreed term.

When signing up and paying, the customer must enter complete and correct business billing details, including billing name, billing address, a valid EU VAT ID from the billing country (the Netherlands, Belgium, Germany or France), the company registration number (in the Netherlands the KvK number, in Belgium the enterprise number, in France the SIREN number, in Germany the commercial register number if the company is registered) and a working payment method. We may refuse or suspend sign-up, access, invoicing or renewal if those details are incorrect or incomplete.

By law, invoices must include, among other things, the details of the supplier and the customer, the invoice date, a sequential invoice number, a description, VAT and amounts. That is why we request business billing details at sign-up.

We may change prices for future terms with at least 30 days' prior notice. The customer may then cancel before the new price takes effect.

5. Suspension and termination

In the event of failed or overdue payment, we may send reminders, restrict access after 7 days, suspend after 14 days and terminate the subscription after 30 days. In the event of misuse, a security risk or unlawful use, we may intervene immediately.

We may discontinue the service or a subscription if continuation cannot reasonably be expected of us, for example due to persistent misuse, structural payment problems, security risks, legal obligations, dependence on suppliers or the discontinuation of part of the service.

After the end of the subscription, the customer may request an export of customer data within 30 days. After that, we may delete data, except where statutory retention obligations, security logs or backup rotation temporarily require otherwise.

6. Customer data and privacy

Customer data belongs to the customer. Boordapp uses customer data only to provide, secure, support, invoice and improve the service. The data processing agreement applies to personal data that Boordapp processes on behalf of the customer.

7. Availability and permitted use

Boordapp makes every effort to keep the service reliably available, but does not guarantee uninterrupted availability. The customer may not use Boordapp for unlawful content, misuse, unauthorised access, disruption of the service, circumvention of security, scraping or use outside the agreed business purpose.

8. Intellectual property

All rights to Boordapp, including software, design, texts, trade names and trademarks, remain with Boordapp or its licensors. The subscription does not transfer any intellectual property to the customer; the customer only receives the temporary right of use under Article 2. We may use feedback to improve the service.

9. Liability

To the extent permitted by law, Boordapp's liability is limited to the amount the customer paid for Boordapp in the twelve months before the event causing the damage, up to a maximum of EUR 2,500. Boordapp is not liable for indirect damage, consequential damage, downtime losses, loss of profit, missed savings, data loss caused by incorrect input or damage resulting from failure to comply with legal or safety obligations.

This limitation does not apply in the event of intent or deliberate recklessness, nor where mandatory law provides otherwise.

10. Force majeure, changes and governing law

We are not liable for delay or non-performance due to force majeure, including disruptions at hosting, internet, WorkOS, Stripe, mail providers, push services, AIS suppliers, cyberattacks, data centre problems or government measures. We may change Boordapp, plans, prices and these terms. In the event of material adverse changes, the customer may cancel with effect from the effective date of that change. These terms are governed by Dutch law.

11. Online contracting and evidence

When signing up online, we show the plan, price, trial period, terms, privacy statement and payment step before the customer completes the process via Stripe. Stripe and Boordapp keep technical references, accepted versions and payment status for administration, support, proof of the agreement and fraud prevention.

These terms and the legal documents are available on the website in a way that allows the customer to open, save and print them before completing the sign-up.

12. Legal basis

These terms are aligned with the information requirements for information society services under the E-Commerce Directive, in particular Articles 5 and 10. The billing details are aligned with the Dutch invoicing requirements and statutory tax retention obligation. For personal data, these terms refer to the privacy statement and the data processing agreement.
